GENERAL TERMS AND CONDITIONS OF SALE

“RIFSTOCK” means  RIFSTOCK OÜ ENT E , Enterprise number: 1005.763.997 , Operating adress:  Avenue du Marly   15 / 4, 1120   Brussels, BE
“Customer” means any natural or legal person purchasing goods or services.
“Goods” means all fiber optic products, cables, equipment, reels, accessories and related items supplied by Rifstock.
“Agreement” means any contract between Rifstock and Customer. Tel: +32 (0)470070228 E-mail: contact@rifstock.com


 These Terms apply to all quotations, orders, agreements and deliveries.

  • Any general or specific terms of the Customer are expressly excluded, unless accepted in writing by Rifstock. 
  • Acceptance of goods or services constitutes full acceptance of these Terms. 
  • These Terms also apply to future transactions.


  • Quotations are non-binding unless stated otherwise. 
  • Agreements are concluded only upon written confirmation by Rifstock. 
  • Rifstock reserves the right to refuse any order without justification.


  •  Quotations are valid for 5 working days unless stated otherwise. 
  • Rifstock may withdraw or amend quotations at any time prior to acceptance. 
  • Technical data, drawings, specifications and descriptions are indicative only and not binding.


 Rifstock may at any time:

  • modify specifications 
  • change suppliers 
  • adjust quantities (±10%) 

provided that the essential characteristics of the goods are not materially affected.


  • Prices exclude VAT and other charges. 
  • Prices are based on: 
    • supplier costs 
    • exchange rates 
    • logistics 

Rifstock may adjust prices in case of changes in these elements.

👉 If increase exceeds 10%, Customer may cancel the order within 2 working days.


  • Delivery shall be EXW or DAP (Incoterms 2020), unless agreed otherwise. 
  • Delivery dates are indicative only and not binding. 
  • Partial deliveries are permitted and may be invoiced separately.


  • EXW: risk transfers upon making goods available at Rifstock premises 
  • DAP: risk transfers upon delivery at agreed location 

If Customer delays delivery:
👉 risk transfers at the moment goods are ready for dispatch

Storage, insurance and handling costs shall be charged to Customer.


 If Customer:

  • refuses delivery 
  • fails to provide instructions 

Rifstock may:

  • store goods at Customer’s expense 
  • resell goods 
  • claim damages


  •  Returnable packaging (drums, reels, pallets) remains property of Rifstock. 
  • Must be returned within 30 days, in good condition. 

If not returned:
👉 full replacement value will be invoiced

Damaged reels:
👉 repair or full replacement cost charged


 Customer must inspect goods immediately upon delivery.

B2B:

  • visible defects: 3 working days 
  • hidden defects: 5 working days after discovery 

Failure to notify:
👉 goods deemed accepted

Returns require prior written approval.


  • Only standard goods may be returned 
  • Must be: 
    • unused 
    • in original packaging 
    • approved in advance 

Rifstock may charge:

  • restocking fee (10–20%) 
  • transport costs 

Custom, cut or configured goods:
👉 non-returnable


  •  Limited warranty of 12 to MAX 24 months 
  • Covers manufacturing defects only 

Excludes:

  • incorrect installation 
  • misuse 
  • environmental factors 
  • third-party interference 

Remedy at Rifstock’s discretion:

  • repair 
  • replacement 
  • credit 

👉 No other remedies allowed


 Rifstock shall only be liable for direct damage caused by gross fault.

Excluded:

  • indirect damage 
  • loss of profit 
  • loss of data 
  • business interruption 
  • third-party claims 

👉 Total liability limited to:
invoice value of the goods concerned

Claims must be brought within:
👉 6 months after delivery


  •  Ownership remains with Rifstock until full payment 
  • Customer may not: 
    • pledge goods 
    • transfer ownership 

Rifstock may:

  • reclaim goods 
  • enter Customer premises


 All documents, drawings, specifications remain property of Rifstock.

Customer may not:

  • reproduce 
  • disclose 
  • use for third parties


 Payment term: 30 days net.
No set-off or compensation is allowed.

In case of late payment:

  • interest of 12% per year shall apply automatically and without prior notice; 
  • a fixed compensation of 10% of the outstanding amount shall be due, with a minimum of €150. 

In addition, Rifstock reserves the right to claim full compensation for any additional damages suffered as a result of late payment, including but not limited to:

  • administrative and recovery costs; 
  • financing costs; 
  • losses resulting from delayed projects; 
  • penalties or claims imposed by third parties; 
  • loss of commercial opportunities or contracts. 

Rifstock may furthermore, without prior notice:

  • suspend or cancel ongoing deliveries; 
  • terminate any agreement; 
  • declare all outstanding invoices immediately due and payable.


Rifstock is not liable for delays or failure due to:

  • supplier failure 
  • transport issues 
  • war 
  • strikes 
  • energy shortages 
  • government actions 

👉 Applies also to suppliers of Rifstock


Rifstock may suspend or terminate agreement if Customer:

  • fails to pay 
  • breaches obligations 
  • becomes insolvent 

All outstanding amounts become immediately due.


 Customer data is processed in accordance with GDPR. 


 Failure to enforce any right does not constitute waiver. 


 If any clause is invalid:
👉 remaining clauses remain in force 


  •  Belgian law applies 
  • Courts of Brussels have exclusive jurisdiction
